Business Client Terms of Service

By registering for and using VieBonne's business services ("Business Platform"), you ("Business," "Client," "you," or "your") agree to be bound by these Business Client Terms of Service. VieBonne ("Platform," "we," "us," or "our") reserves the right to modify these terms at any time without prior notice.

By using the Business Platform, you represent and warrant that:

• You are a legitimate business entity with authority to enter into this agreement
• All information provided during registration is accurate, current, and complete
• You have all necessary licenses, permits, and authorizations to operate your business
• You comply with all applicable federal, state, and local laws and regulations
• You have the right to offer and sell the products/services you advertise
• Your business operations do not violate any third-party rights

Regarding promotional deals and content you post:

• You are solely responsible for all content, pricing, and terms of your promotional deals
• You must honor all advertised prices, discounts, and promotions as posted
• All deal information must be accurate, truthful, and not misleading
• You must comply with all truth-in-advertising laws and regulations
• You must clearly state any restrictions, limitations, or expiration dates
• You grant VieBonne a non-exclusive license to display your content and promotional materials
• VieBonne may remove any content at its discretion without notice or liability

Business Platform subscriptions:

• Subscription fees are charged monthly in advance and are non-refundable
• You authorize VieBonne to charge your designated payment method automatically
• Failed payments may result in immediate suspension or termination of service
• VieBonne reserves the right to change subscription pricing with 30 days' notice
• You are responsible for all taxes associated with your subscription
• Deal posting limits are based on your subscription tier

THE BUSINESS PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

VieBonne makes no warranties or guarantees regarding:

• The number of impressions, clicks, or customer engagement your deals will receive
• Any increase in sales, revenue, or business performance
• The accuracy of analytics, metrics, or reporting
• The Platform's availability, reliability, or functionality
• The quality or behavior of Platform users

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS VIEBONNE, ITS OWNERS, OFFICERS, EMPLOYEES, AND AFFILIATES FROM ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEY'S FEES) ARISING FROM:

• Your use of the Business Platform
• Your promotional deals, products, or services
• Your violation of these terms or any laws
• Your violation of third-party rights
• Product liability claims related to your products
• Consumer complaints or disputes regarding your business
• False advertising or deceptive business practices
• Food safety issues, allergic reactions, or health problems related to your products
• Failure to honor advertised prices or promotions
• Any content or materials you submit to the Platform

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIEBONNE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE BUSINESS PLATFORM.

This includes but is not limited to:

• Lost profits, revenue, sales, or business opportunities
• Loss of data or business information
• Costs of procurement of substitute services
• Business interruption or downtime
• Indirect, incidental, special, consequential, or punitive damages
• Damages from user actions, complaints, or behavior
• Issues arising from technical problems or Platform unavailability

IN NO EVENT SHALL VIEBONNE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE BUSINESS PLATFORM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

As a business posting deals on VieBonne, you are solely responsible for:

• Ensuring all products meet applicable safety standards and regulations
• Complying with FDA regulations for food and dietary products
• Properly labeling products with ingredients, allergens, and nutritional information
• Handling food safety requirements and preventing contamination
• Obtaining and maintaining all required business licenses and permits
• Complying with local health department regulations
• Maintaining adequate product liability insurance

You agree that:

• You are solely responsible for all customer service, support, and dispute resolution
• VieBonne is not involved in and has no responsibility for consumer transactions
• You will handle all refunds, returns, and complaints directly with customers
• You will not direct customers to VieBonne for transaction-related issues
• You will maintain professional and lawful conduct in all customer interactions

You agree not to:

• Post false, misleading, or deceptive promotional content
• Engage in bait-and-switch tactics or false advertising
• Fail to honor advertised prices or promotions
• Violate any consumer protection laws
• Post content that infringes on third-party intellectual property
• Use the Platform for any illegal purposes
• Attempt to manipulate metrics or engagement artificially
• Harass or abuse Platform users
• Share or sell user data obtained through the Platform

VieBonne reserves the right to:

• Review and approve business registrations before activation
• Reject any business registration without explanation
• Remove, modify, or refuse to display any promotional content
• Suspend or terminate business accounts at any time
• Limit or restrict deal posting capabilities
• Set guidelines for acceptable content and business practices

Regarding business data and analytics:

• VieBonne provides analytics on deal impressions and clicks for informational purposes only
• We do not guarantee the accuracy or completeness of analytics data
• You may not use analytics data to identify or contact individual users
• VieBonne owns all data, metrics, and insights generated from the Platform
• We may use aggregated data for Platform improvement and business purposes

Either party may terminate this agreement:

• VieBonne may terminate your account immediately for any violation of these terms
• VieBonne may terminate your account for any reason with 30 days' notice
• You may cancel your subscription at any time (no refunds for current billing period)
• Upon termination, all outstanding fees become immediately due
• Your access to the Business Platform will cease immediately upon termination
• Sections regarding liability, indemnification, and dispute resolution survive termination

You and VieBonne are independent contractors. Nothing in these terms creates a partnership, joint venture, employment, agency, or franchise relationship. Neither party has authority to bind or obligate the other party.

These terms shall be governed by applicable law. Any disputes shall be resolved through binding arbitration rather than in court. You waive your right to jury trial and to participate in class actions.

These Business Client Terms constitute the entire agreement between you and VieBonne regarding the Business Platform and supersede all prior agreements.
